Acceptance of Terms
By accessing or using the services provided by Pareto Solutions Inc. ("Pareto", "we", "our", or "us"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
These terms apply to all visitors, clients, and others who access or use our website and services. We reserve the right to update these terms at any time. Continued use of our services after any such changes constitutes acceptance of the new terms.

Services
Pareto provides AI-native marketing and commerce solutions, including but not limited to operational assessment, operating model design, workflow and agent design, platform operations (media, marketplace, and creative), financial intelligence and analytics, AI cost governance, and agentic commerce readiness. Certain services may be delivered in whole or in part through Pareto's network of specialist partner firms, under Pareto's direction and standards.
The specific scope, deliverables, timelines, service configuration, and commercial terms for each engagement are defined in the applicable Statement of Work or Master Services Agreement signed by both parties. In the event of any conflict between these Terms and a signed agreement, the signed agreement takes precedence.

Intellectual Property
All content on this website, including text, graphics, logos, diagrams, and software, is the property of Pareto or its content suppliers and is protected by applicable intellectual property laws.
Intellectual property ownership for client engagements is defined in the applicable Statement of Work. Unless otherwise specified: clients own the operating model instance built for them, including its configuration, data, and outputs; Pareto retains ownership of the Pareto reference architecture and its general methodologies, frameworks, agent designs, and tools developed in the course of its practice, which are licensed to the client as needed for the continued operation of their instance.

Confidentiality
Pareto treats client confidentiality as foundational. We are glad to execute a mutual Non-Disclosure Agreement prior to any substantive discussion of your business. All client information shared in the course of an engagement — including commercial, financial, and performance data — is treated as confidential and is not shared with third parties without explicit consent. Where specialist partners participate in delivery, they are bound by confidentiality obligations consistent with these terms.

Data Processing
Where Pareto processes personal data on behalf of clients, we act as a data processor under applicable data protection laws, including the GDPR and applicable U.S. state privacy laws. A Data Processing Agreement is available on request and is required for all engagements involving personal data.

Limitation of Liability
To the maximum extent permitted by applicable law, Pareto shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our services, including without limitation lost profits, lost revenue, or the performance of advertising or commerce platforms operated by third parties. Our total liability for any claims arising out of or relating to these terms or our services shall not exceed the fees paid by you for the relevant services in the twelve months preceding the claim.
